Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the Quorvex Biosciences website (the “Website”), products, services, accounts, checkout, and related features (collectively, the “Services”).
By accessing the Website, creating an account, placing an order, or purchasing any product, you agree to be bound by these Terms, our Privacy Policy, Shipping Policy, Refund Policy, and any other policies referenced or linked on the Website.
If you do not agree to these Terms in full, or cannot truthfully make all required representations, you must immediately cease use of the Website and refrain from placing orders.
Research Use Only – Strict Limitations
All products sold by Quorvex are for Research Use Only (RUO). They are intended solely for lawful in-vitro laboratory research by qualified professionals in appropriate research settings. Products are not intended for, and you agree not to use them for:
Human or animal consumption, ingestion, injection, inhalation, topical application, implantation, administration, or any form of bodily use. Diagnostic, therapeutic, clinical, medical, pharmaceutical, cosmetic, food, dietary supplement, bodybuilding, athletic performance, weight loss, anti-aging, wellness, or personal-use purposes. Veterinary use, animal treatment, or any non-laboratory application. Compounding, dispensing, prescribing, resale for human/animal use, or use as a drug, biologic, food additive, cosmetic, or medical device. Any purpose prohibited by federal, state, or local laws or regulations.
Products have not been evaluated, approved, or cleared by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for safety, efficacy, or any use. No statements on the Website, in product descriptions, COAs, communications, or marketing materials constitute medical, veterinary, dosing, administration, or treatment advice. You are solely responsible for ensuring your use complies with all applicable laws and institutional requirements.
Buyer Eligibility and Representations
You may access product pages, create an account, or purchase only if all of the following are true:
You are at least 21 years of age. You are a qualified research professional acting on behalf of a lawful laboratory, academic institution, research organization, or similar qualified entity. You possess the necessary training, facilities, equipment, and authorizations for safe, lawful laboratory research use. Your intended and actual use is strictly limited to lawful in-vitro laboratory research. You will not permit or engage in any prohibited use (as outlined in Section 2).
By placing an order or using the Services, you expressly acknowledge and agree: “All products are sold strictly for Research Use Only. I am a qualified research professional aged 21 or older. I confirm that all products will be used exclusively for lawful laboratory research and not for human or animal consumption, administration, or any prohibited purpose. I agree to these Terms, including the Indemnity provisions.” We may require account creation, identity/age verification, research profile details (e.g., organization name, role, research field), documentation, or additional screening. We reserve the right to reject, suspend, or terminate any account or order in our sole discretion for compliance, risk, or policy reasons.
Prohibited Conduct and Uses
You agree not to:
Engage in personal, consumer, household, self-experimentation, or non-research use. Purchase for or supply to med spas, wellness/anti-aging/TRT clinics, gyms, compounding pharmacies, or similar consumer-oriented settings (unless expressly pre-approved in writing for a verified research purpose). Resell, redistribute, repackage, or supply products to unauthorized third parties. Request, share, or submit content involving human/animal dosing, protocols, effects, testimonials, before/afters, or therapeutic claims. Violate any law, regulation, carrier rule, payment processor policy, or these Terms.
Violations may result in immediate order cancellation, account termination, ban, refund denial, and reporting as appropriate.
Product Information and Handling
Product details (names, sequences, formulas, purity, COAs, etc.) are provided for laboratory reference and quality purposes only. COAs confirm batch testing but do not imply suitability for any use beyond lawful research. You are responsible for proper receipt, storage, handling, safety protocols, record-keeping, and disposal in compliance with all laws. Quorvex is not liable for post-delivery issues, including degradation, misuse, or contamination.
Orders, Pricing, Payments, and Acceptance
Orders are offers to purchase; we may accept, reject, limit, or cancel any order at our discretion (e.g., for compliance, availability, errors, fraud risk, or regulatory concerns). Prices are in USD and subject to change. Taxes and shipping calculated at checkout. Payments must be completed via approved methods. You authorize charges and agree not to initiate improper chargebacks/disputes. We do not accept certain cards or methods that increase risk; verification may be required.
Shipping and Delivery
Shipping to approved U.S. addresses only (subject to restrictions; no P.O. boxes, reshippers, prohibited destinations, or high-risk locations in some cases). Delivery estimates are not guaranteed. Risk of loss generally passes upon carrier delivery confirmation (subject to law). We are not responsible for carrier delays, theft after delivery, or incorrect addresses.
Returns, Refunds, and Cancellations
Due to the nature of research products, all sales are final. Returns or refunds are considered only in cases of verified merchant error (e.g., wrong item, pre-delivery damage) with required documentation (e.g., unboxing video, photos, packing slip) submitted within 7 days of delivery. No refunds for change of mind, prohibited use, opened/tampered products, or post-delivery issues. Chargebacks for delivered orders will be disputed with evidence.
Intellectual Property
All Website content is owned by or licensed to Quorvex LLC and protected by copyright, trademark, and other laws. Unauthorized copying, scraping, or use is prohibited.
Privacy
Your use is governed by our Privacy Policy. You consent to collection and use of data for order fulfillment, compliance, communications, and enforcement.
Disclaimers and “As Is” Provision
The Website and products are provided “as is” and “as available.” To the maximum extent permitted by law, Quorvex disclaims all warranties (express or implied), including merchantability, fitness for purpose, accuracy, and non-infringement. We do not warrant uninterrupted access, error-free operation, or suitability for any specific research.
Limitation of Liability
To the fullest extent permitted by law, Quorvex and its affiliates shall not be liable for any indirect, incidental, consequential, punitive, or special damages (including lost profits, data loss, or regulatory actions). Total liability shall not exceed the amount paid for the specific product/order at issue.
Indemnification
You agree to indemnify, defend, and hold harmless Quorvex LLC, its owners, officers, employees, agents, and affiliates from all claims, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from your use of the Services, purchase/handling of products, breach of these Terms, prohibited use, or violation of law.
Termination and Suspension
We may suspend or terminate your access/account at any time for violations, compliance risks, or other reasons.
Governing Law and Venue
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict of laws principles. Disputes shall be resolved exclusively in the state or federal courts located in [appropriate Florida county, e.g., where registered agent is located]. You consent to personal jurisdiction and venue there.
Changes to Terms
We may update these Terms. Continued use after posting constitutes acceptance. Check periodically.
Severability, No Waiver, Entire Agreement
Invalid provisions shall be severed; remaining terms remain in effect. Failure to enforce a provision does not waive it. These Terms (plus linked policies and order acknowledgements) constitute the entire agreement.
